Shareholders of BAI Micro Finance bank ask for dissolution and liquidation

Shareholders of the bank BAI Micro Finanças (BMF), whose license has expired, asked for the voluntary dissolution and liquidation of the financial institution, according to a statement from the Nacional de Angola (BNA).

The decision was taken at the General Meeting held on 9 August and has now been made public by the BNA, which recorded the deliberation.

The BNA adds that the authorization of the banking financial institution has expired, with the mention "in liquidation" having been added to the firm, under the terms of number 3 of article 146 of Law no. Commercial Societies.

Neither BAI nor BMF made any official communication regarding the dissolution.​​​​

Last week, the economic weekly Expansão reported that BAI (majority shareholder of BMF) had backed off with the intention of selling the bank to businessman António Mosquito, who holds stakes in other financial institutions, and the amount already paid was refunded.

In a note sent to Lusa, BAI clarifies that the cancellation of the deal with the businessman, with whom a promissory purchase and sale contract subject to a resolutive condition had been signed, was due to the fact that the National Bank of Angola had not approved the transfer of the qualifying holding.

“It was after the notification of this rejection that the deposit paid was returned by BAI, under the terms of the contract. The closing of the negotiation process had constant alignment between the parties”, explained BAI, underlining that the decision led to a “re-equation, by the shareholder BAI, of the strategy for its subsidiary” about which they will inform the market.

On its website, BMF presents itself as a bank specializing in microcredit, with 21 branches across the country.

In 2020, Banco BAI Micro Finanças underwent a restructuring with regard to its shareholder structure, with the minority shareholders selling the shares to the shareholder BAI, who was at that time considering the entry of new 'shareholders'.
